A. The Types of Information We Collect
When you visit and browse the Site, or otherwise transact business with us, you may provide us with information, and we will or may collect certain information automatically.
1. Information You Provide to Us
In order to access certain services provided via the Site or to request certain information from MidCap via the Site, you may be required to provide certain personal information.
This may include your name, postal address, e-mail address, telephone number, facsimile number, investor status, or other information about yourself. If you choose to not provide us with information, you might not be able to gain access to certain information and services on the Site, which rely on such information.
2. Information We Collect Automatically
We may also collect information about you automatically.
For example, when you visit the Site, we may collect your IP address, your browser type, your operating system, the pages you view on the Site, the duration of your visit, the pages you view immediately before and after you access the Site, and the search terms you enter on the Site.
We may collect this information using cookies, which are small files that a website sends to your computer or device while you are viewing the website, or other technical methods to track visitor usage, including web beacons, which are small pieces of data that are embedded in images on the pages of a website.
You may be able to have your browser warn you when a cookie is sent, and you may be able to turn off all cookies. You can do this through your web browser settings. Each browser is different, so look at your browser Help menu to learn the correct way to modify your cookie settings. If you turn cookies off, you won't have access to many features that may improve your browsing, like the features mentioned above, and some of our services may not function properly.
Other technical methods including web beacons may involve the transmission of information either directly to us or to another party authorized by us to collect information on our behalf. We may also use these technical methods in HTML e-mails that we send visitors to the Site to determine whether such visitors have opened those e-mails and/or clicked on links in those e-mails.
3. Additional Information Collection Practices
The Site may contain links to websites operated by third-parties, and your personal information may be collected by those third-parties when you use their websites.
Should you choose to visit these third-party sites, you should review their privacy policies to ensure you understand and are comfortable with their practices concerning your information. We do not accept, and do disclaim, any responsibility for the privacy policies and information collection, use, and sharing practices of any third-party website (whether or not such site is linked on or to the Site). These links are provided to you for convenience purposes only, and you access them at your own risk.
Some of our third-party partners may ask you to provide personal information on their websites and may share such personal information with us, as governed by their respective privacy policies.
We may link the information that we collect automatically with the information you provide us, and we may combine the information we collect online with information we collect offline or that is collected by third-parties.
B. How We Use the Information We Collect
We use information we collect about you primarily to: provide services to you in accordance with any contract with you, communicate with you, and manage and improve our services for you and our other investors, as permitted by applicable laws.
We use your personal information to:
- respond to your requests for forms, literature, or information, on the basis that it is in our business interests to respond to your requests, and you have requested that we do this;
- manage and administer customer services, including but not limited to the administration of your customer account. In most cases we do this is to meet our contractual obligations to you. Where there is no such obligation, we have a business interest in keeping our records accurate and up to date, which will assist you when we provide our services;
- process transactions, as necessary to meet our contractual obligations to you;
- provide you with the services you have requested. In many cases we will provide these services to comply with contractual obligations to you, but if these services are not governed by any contract, we will use your information in this way to meet our business interests in providing the best service possible;
- improve the Site and learn about how visitors use the Site. This is necessary for us to improve the services we may offer through the Site, and benefits you as it helps us make the Site more usable and appealing;
- comply with legal obligations; and
- protect our rights, your rights, and the rights of others, as this may be necessary to meet our own high standards of business practice.
We may use information for any purpose if the information does not identify you and cannot be combined with other information accessible to us to identify you. For example, we may prepare aggregated reports about how visitors tend to interact with the Site for research about the use of the Site and how the Site could be improved, from which your interactions with the Site cannot be singled out.
C. How We Share the Information We Collect

We may also share information about you to the extent reasonably necessary to proceed with the consideration, negotiation, or completion of a merger, reorganization, or acquisition of our business, or a sale, liquidation, or transfer of some or all of our assets.
The above-described disclosures are provided on the basis that they are either necessary to comply with our legal obligations or they are necessary to meet our legitimate interests in managing our business efficiently and for developing future business.
Additionally, we reserve the right to share with third-parties information that does not identify you (and cannot be combined with other information accessible to us to identify you) for any purpose.
D. The Security Measures We Take to Safeguard Information
The security and confidentiality of the information we collect or receive is extremely important to us, and we take our responsibility to protect this information very seriously.
